Terms & CONDITIONS OF BUSINESS
1. General
1.1 These Terms & Conditions apply to quotations, contracts, goods and services provided by Davision Interiors Ltd (the Company).
1.2 The Company provides bespoke joinery, cabinetry, fitted furniture, kitchens, wardrobes, interior installations, finishing and associated works.
1.3 By accepting a quotation, instructing the Company to proceed or paying a deposit, the Customer agrees to these terms, provided they were made available before the contract was entered into.
1.4 Amendments must be agreed in writing. Nothing in these terms affects statutory rights.
2. Quotations
2.1 Quotations are valid for 30 days unless otherwise stated and are based on drawings, specifications, measurements and information available when priced.
2.2 Alterations to the specification may incur additional charges. Work not expressly included is excluded.
2.3 If unforeseen conditions are discovered, the Company will notify the Customer and agree additional costs before proceeding with affected work.
2.4 Material prices or specifications may be revised before quotation acceptance.
3. Deposits
3.1 A 50% deposit is required on acceptance unless agreed otherwise in writing.
3.2 The deposit secures production time and contributes to drawings, preparation, materials and allocated labour. The Company need not commence work, order materials or reserve dates before receipt.
3.3 Deposits are not automatically non-refundable. On cancellation, reasonable amounts may be retained for work done, materials ordered, supplier commitments and losses directly caused by cancellation, subject to applicable law. Any remaining balance will be refunded.
4. Payment Terms
4.1 Unless otherwise agreed: 50% deposit on acceptance; interim payments fortnightly where applicable in line with work completed and the agreed schedule; final balance on completion.
4.2 Final invoices are payable within 7 calendar days of completion unless otherwise agreed in writing.
4.3 Following reasonable written notice, work may be suspended for overdue agreed payments, with consequential programme changes.
4.4 Applicable GST will be identified on quotations and invoices. Customers should promptly identify genuine invoice disputes and their reasons; undisputed amounts remain due.
5. Cancellation by the Customer
5.1 After acceptance, the Company may allocate workshop space, labour, materials and production time.
5.2 If the Customer cancels, the Company may recover reasonable expenses and losses directly arising, including design and surveys, specially ordered materials, non-refundable supplier charges, manufactured components, reasonably committed labour/subcontractors and production time that cannot reasonably be reallocated.
5.3 Charges reflect actual work, commitments and reasonable losses, not automatic deposit forfeiture or an unreasonable penalty. The Company will take reasonable steps to minimise loss.
5.4 If reasonable cancellation costs exceed payments received, the outstanding amount may be claimed. Applicable statutory cancellation rights remain unaffected.
6. Bespoke Manufacture
6.1 Bespoke joinery is made to agreed drawings, measurements and specifications and may be unsuitable for resale or reuse.
6.2 Changes or cancellation after manufacture begins may involve additional charges.
6.3 Natural variations in timber grain, colour and appearance are expected. Timber and timber-based products may respond to temperature and humidity.
7. Drawings and Design Approval
7.1 Where drawings are submitted for approval, the Customer should review the design, dimensions, layout and specification. Manufacture may begin after written approval.
7.2 Changes after approval may increase costs and extend timescales.
7.3 Company-produced drawings and designs remain its intellectual property unless agreed otherwise. They must not be provided to third parties for manufacture without permission, except where the Customer has a legal right to do so.
8. Variations and Additional Works
8.1 Changes to the quotation or specification must be agreed. Additional works may be charged separately and may affect completion dates.
8.2 Where practical, additional costs and timing effects will be confirmed before the affected work. Verbal instructions should be confirmed in writing.
9. Project Timescales
9.1 Commencement and completion estimates will be provided where practical. Dates are estimates unless a specific contractual deadline is agreed.
9.2 The Company will make reasonable efforts to meet agreed dates. Delays may arise from customer changes, late approvals, supplier shortages, restricted access, other trades, unforeseen site conditions or events beyond reasonable control.
9.3 The Company will notify the Customer of delays and provide an updated programme where reasonably possible, and remains responsible for delays caused by its own failure to exercise reasonable care and skill.
10. Site Access and Preparation
10.1 The Customer must provide reasonable access during agreed hours and keep work areas reasonably clear.
10.2 The Customer should disclose known hidden services, structural concerns, damp and existing defects affecting installation.
10.3 Additional costs caused by unforeseen conditions will be discussed and agreed before additional work proceeds.
11. Existing Buildings and Structures
11.1 Existing walls, floors and ceilings may be uneven or out of square; reasonable allowances will be made.
11.2 Concealed defects may require a revised quotation. The Company is not responsible for pre-existing defects or unrelated contractors’ defective work except where its own work causes or contributes to the issue.
12. Other Contractors
12.1 The Company will reasonably cooperate with builders, electricians, plumbers, decorators and other trades.
12.2 It is not responsible for delays or defects caused by independent contractors outside its control. Remedial work due to their errors may be chargeable by agreement.
12.3 The Company remains responsible as required by law for subcontractors it appoints to fulfil its own contractual duties.
13. Materials and Finishes
13.1 Materials and finishes will follow the agreed specification. Natural wood and veneer may vary in colour, grain and texture.
13.2 Paint and lacquer may appear different in different lighting; samples should be approved where precise appearance matters.
13.3 If a specified material is unavailable, the Company will seek approval before substitution.
14. Spray Finishing
14.1 Professional materials and methods will be used. Coatings have differing curing times, durability and maintenance requirements.
14.2 Customers must follow aftercare instructions. Damage from misuse, unsuitable cleaners, excessive moisture, impact or failure to follow aftercare is not automatically a workmanship defect.
14.3 On-site spraying requires appropriate access, containment, ventilation and safety measures before work begins.
15. Installation
15.1 Installation will be undertaken with reasonable care and skill. Adjustments may be needed for existing building conditions.
15.2 Unless expressly included, structural alterations, electrical works, plumbing and decorating are excluded. Extra requirements will be discussed with the Customer.
16. Completion and Snagging
16.1 At substantial completion, the Customer will have a reasonable opportunity to inspect the works and should report outstanding items promptly.
16.2 The Company must be given a reasonable opportunity to inspect and rectify defective workmanship for which it is responsible.
16.3 Minor snags not materially preventing use do not automatically justify withholding the entire balance. All applicable legal rights remain unaffected.
17. Warranty and Defects
17.1 The Company stands behind its workmanship and will assess and remedy defects attributable to faulty workmanship in line with legal obligations.
17.2 Manufacturer warranties may apply to hardware, appliances and proprietary components.
17.3 Normal wear, accidental damage, misuse and unsuitable environmental conditions are not automatically covered. Statutory rights are unaffected.
18. Customer-Supplied Materials
18.1 Responsibility for suitability and availability of Customer-supplied materials, fittings and appliances must be agreed before installation.
18.2 The Company is not responsible for inherent defects it could not reasonably identify. Additional labour caused by unsuitable or incorrect supplied products may be charged by agreement.
19. Ownership of Goods
19.1 Ownership of Company-supplied goods remains with the Company until full payment to the extent permitted by law.
19.2 This does not authorise entry onto property or removal of installed goods without lawful authority. Risk passes in accordance with the contract and applicable law.
20. Damage and Liability
20.1 The Company will take reasonable care of the Customer’s property and is responsible for loss or damage caused by its negligence or contractual breach as required by law.
20.2 It is not responsible for unrelated pre-existing defects or damage. Nothing excludes liability where unlawful, including death or personal injury caused by negligence.
21. Suspension or Termination
21.1 After reasonable notice, the Company may suspend work for failure to make agreed payments or provide necessary access or approvals.
21.2 Either party may have termination rights for serious breach. On termination, the parties will account for completed work, materials and reasonable contractual liabilities subject to law.
22. Photography and Marketing
22.1 The Company may request permission to photograph completed work for its portfolio, website and social media.
22.2 Photographs identifying private property will not be published without appropriate permission. Customers may decline promotional photography.
23. Complaints and Disputes
23.1 Concerns should initially be raised with the Company, which will seek to investigate and resolve genuine issues reasonably.
23.2 The Customer should allow reasonable access for inspection and necessary remedial work. Neither party loses its legal rights.
24. Governing Law
24.1 These terms are governed by Jersey, Channel Islands law.
24.2 Disputes are subject to the jurisdiction of Jersey courts, subject to applicable consumer protection laws.
25. Acceptance
25.1 By accepting a quotation or instructing Davision Interiors Ltd to proceed, the Customer accepts these Terms & Conditions provided they were supplied or made available before the contract was entered into.
